1. Acceptance of Terms

By accessing, browsing, or using the Synetic.care platform ("Service"), including our website, mobile applications, AI assistant, and any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Synetic.care ("Company," "we," "us," or "our").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

2. Description of Service

Synetic.care is an AI-powered caregiving platform and legacy vault designed to help families coordinate elder care. Our Service includes, but is not limited to:

• Daily health logging and wellness tracking
• Medication tracking and reminders
• Appointment management and scheduling
• Legacy vault for preserving stories, photos, documents, and family memories
• AI-powered care assistant utilizing Retrieval-Augmented Generation (RAG) and Personal Knowledge Graph (PKG) technologies
• Care team collaboration tools for family members and professional caregivers
• Health reports and insights

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, outdated, or incomplete. You are responsible for any activity on your account, whether or not you authorized that activity.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Upload, transmit, or distribute any content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Introduce viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
• Use any automated system, including bots, crawlers, or scrapers, to access the Service without our express written permission
• Enter health information or personal data belonging to another individual without their explicit consent or legal authorization
• Use the Service to store or transmit any content that infringes upon the intellectual property rights of any third party

5. Health Information Disclaimer

The Service is designed to assist families in organizing and tracking caregiving activities. The health-related features, including daily health logging, medication tracking, and AI-generated insights, are intended solely for informational and organizational purposes. They do not constitute medical advice.

You should always consult with a qualified healthcare professional regarding any medical condition, treatment plan, or health concern. Never disregard professional medical advice or delay seeking it because of information provided through our Service. In case of a medical emergency, call your local emergency services immediately.

Synetic.care does not endorse, recommend, or make any representations about the efficacy, appropriateness, or suitability of any specific medical treatment, medication, product, or procedure. Any health data displayed on the platform is user-reported and has not been independently verified by medical professionals.

6. Data Privacy and Security

Your privacy is critically important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Synetic.care is designed with HIPAA (Health Insurance Portability and Accountability Act) compliance principles in mind. We implement administrative, technical, and physical safeguards to protect the confidentiality, integrity, and availability of your personal and health information, including:

• End-to-end encryption for data in transit and at rest
• Row Level Security (RLS) policies ensuring users can only access their own data
• Regular security audits and vulnerability assessments
• Access controls and authentication mechanisms
• Secure data storage through Supabase infrastructure

While we strive to implement best-in-class security measures, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security of your data.

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Synetic.care and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

The Synetic.care name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Synetic.care. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

8. User-Generated Content

The Service allows you to create, upload, store, and share content including but not limited to daily health logs, care notes, legacy vault items (stories, photos, documents, audio recordings), medication records, and appointment details (collectively, "User Content").

You retain full ownership of all User Content you submit to the Service. By submitting User Content, you grant Synetic.care a limited, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service. This license includes the right to:

• Store and back up your content on our servers
• Process your content through our AI systems to provide personalized insights and assistance
• Display your content to authorized members of your care team as configured by you

We will never sell your User Content or use it for advertising purposes. You may request deletion of your User Content at any time, subject to our data retention policies and any applicable legal obligations. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

9. AI Assistant Disclaimer

Our AI assistant is powered by advanced language models (Google Gemini) and utilizes Retrieval-Augmented Generation (RAG) and Personal Knowledge Graph (PKG) technologies to provide contextual assistance based on the data you have entered into the platform.

You acknowledge and agree that:

• AI responses are generated algorithmically and may contain inaccuracies, errors, or incomplete information
• The AI assistant is not a licensed medical professional and cannot provide medical diagnoses, treatment recommendations, or prescriptions
• AI-generated insights are based on the data you provide and should be verified independently
• You should not rely solely on AI-generated content for making health or care decisions
• The Company is not liable for any actions taken based on AI-generated responses

10. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications that are not owned or controlled by Synetic.care. These third-party services include, but are not limited to:

• Supabase — for data storage, authentication, and backend infrastructure
• Google Gemini AI — for powering our AI assistant capabilities
• Payment processors — for handling subscription billing

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Synetic.care shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party services. We encourage you to review the terms and privacy policies of any third-party services you access through our platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNETIC.CARE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated responses
• Unauthorized access, use, or alteration of your transmissions or content
• Any health decisions made based on information provided through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at support@synetic.care or through the account settings in the platform. Upon account termination:

• You may request an export of your data before deletion
• We will delete your personal data within 30 days, unless retention is required by law
• Legacy vault items shared with other family members may be retained if those members maintain active accounts, subject to their consent
• Anonymized and aggregated data may be retained for analytical purposes

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

We will notify you of changes through one or more of the following methods: email notification, a prominent notice on the Service, or an in-app notification. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
